Terms & Conditions

These Terms and Conditions (“Terms”) constitute a legally binding agreement between the user (hereinafter referred to as “You”, “User”, or “Client”) and Zawr Industries LLP, a limited liability partnership incorporated under the provisions of the Limited Liability Partnership Act, 2008, bearing LLP Identification Number and having its registered office situated in India (hereinafter referred to as “Zawr Industries LLP”, “Company”, “We”, “Us”, or “Our”), and govern Your access to and use of the proprietary software platform “Firm AI” (hereinafter referred to as “Firm AI” or “Platform”), which includes, but is not limited to, any websites, applications, APIs, software-as-a-service offerings, data services, dashboards, proprietary analytics, and associated features, technologies, and functionalities made available by Zawr Industries LLP.

By accessing, using, registering for, or subscribing to the Platform, You explicitly acknowledge that You have read, understood, and unconditionally agree to be legally bound by these Terms, along with our Privacy Policy, Data Usage Policy, and any additional documentation referenced herein, which collectively form an integral part of this Agreement. If You do not accept these Terms in their entirety, You are prohibited from accessing or using the Platform, and You must cease all access and usage immediately.

You further represent that You have the legal capacity and authority to enter into this Agreement on behalf of Yourself or the entity You represent, and that all information provided by You to the Company in connection with this Agreement and Your usage of the Platform is accurate, complete, and not misleading.

The Platform is provided solely on a software-as-a-service (SaaS) model, wherein Zawr Industries LLP grants You a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for lawful business purposes in accordance with the subscription plan purchased or made available to You.

The Company reserves the absolute and unconditional right, at its sole discretion, to modify, amend, suspend, restrict, or terminate any feature, module, pricing, access right, subscription plan, or portion of the Platform, with or without prior notice, and without incurring any liability whatsoever.

You acknowledge and agree that all right, title, interest, ownership, and intellectual property rights in and to the Platform, including without limitation its software code, UI/UX design, workflows, business logic, algorithms, architecture, trademarks, trade secrets, documentation, templates, visual interfaces, and underlying data models, are and shall remain the exclusive property of Zawr Industries LLP and/or its licensors. No right, license, or ownership interest is conveyed to You other than as explicitly set forth herein.

You shall not, directly or indirectly, reverse engineer, decompile, disassemble, copy, sublicense, distribute, frame, scrape, modify, tamper with, create derivative works from, access the source code of, or otherwise exploit the Platform or any part thereof beyond the scope of the license expressly granted herein. You further agree not to use the Platform to (i) engage in any unlawful, fraudulent, misleading, or harmful conduct; (ii) infringe upon the intellectual property or proprietary rights of any third party; (iii) violate any applicable law, regulation, or government directive; or (iv) introduce or transmit viruses, malware, bots, scrapers, or other malicious software or automated scripts.

You acknowledge that Your use of the Platform may require the processing of personal data and business-sensitive information, and You agree to be bound by our Privacy Policy and Data Processing Addendum, as may be updated from time to time, which governs the manner in which we collect, use, process, and retain such data. You warrant that You have obtained all necessary rights, consents, and legal bases to upload or submit any data to the Platform and that such data does not infringe the rights of any third party or violate any applicable laws.

The Company shall not be held liable for any inaccuracies, delays, unavailability, interruptions, or errors in the Platform or any outputs or recommendations provided therefrom. You acknowledge and agree that any business recommendations, predictions, or insights generated by Firm AI are for informational purposes only and do not constitute financial, legal, investment, or professional advice, nor do they guarantee any outcome, profitability, or return on investment. You assume full responsibility and risk for all business decisions made based on or influenced by the Platform’s outputs.

Zawr Industries LLP does not warrant that the Platform will be uninterrupted, error-free, secure, or free from unauthorized access, and disclaims all warranties, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted under applicable law. In no event shall the Company, its officers, directors, employees, affiliates, agents, suppliers, or licensors be liable to You or any third party for any indirect, incidental, consequential, special, punitive, or exemplary damages, including without limitation loss of data, loss of profits, business interruption, reputational harm, or economic loss, even if advised of the possibility of such damages.

Your sole and exclusive remedy for dissatisfaction with the Platform is to discontinue use. In no event shall the Company’s aggregate liability arising from or in connection with this Agreement or the use of the Platform exceed the total subscription fees paid by You to the Company in the preceding six-month period immediately prior to the claim.

Zawr Industries LLP reserves the right to suspend or permanently terminate Your access to the Platform, without prior notice, if it determines, in its sole and absolute discretion, that You have violated any provision of these Terms, engaged in abuse, misuse, fraud, or breach of applicable laws. Such termination shall not relieve You of Your obligations to pay any outstanding fees, and all accrued rights and remedies of the Company shall survive.

You agree to indemnify, defend, and hold harmless Zawr Industries LLP, its directors, officers, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, losses, damages, penalties, fines, costs, and expenses (including attorneys’ fees) arising out of or related to (i) Your access to or use of the Platform, (ii) any data or content submitted by You, (iii) any breach by You of these Terms or applicable laws, or (iv) any third-party claims based on or arising from Your use of the Platform.

This Agreement shall be governed by and construed in accordance with the laws of India. Any dispute, controversy, or claim arising out of or in connection with these Terms or Your use of the Platform shall be exclusively subject to the jurisdiction of the competent courts located in Bengaluru, Karnataka, India, and You hereby irrevocably consent to the personal jurisdiction and venue of such courts.

You shall not assign, delegate, or transfer any of Your rights or obligations under this Agreement without the prior written consent of the Company. Any such purported assignment shall be null and void. The Company may freely assign its rights and obligations to any affiliate, successor, or purchaser of its business or assets.

Payment Terms and Billing Policy for Firm AI by Zawr Industries LLP

By subscribing to and using any paid plan, product, or feature on the Firm AI platform, you (“User” or “Subscriber”) agree to the following payment terms and billing policies. These terms constitute a binding agreement between you and Zawr Industries LLP and apply to all payments made via integrated payment gateways or invoicing systems.

Subscription Billing and Renewal
All Firm AI paid plans operate on a subscription model (monthly, quarterly, or annually, as selected by the User). Upon initial payment, the User will be granted access to paid services for the specified billing period. Subscriptions will automatically renew unless explicitly cancelled before the renewal date. Users authorize Firm AI and its payment gateway partners to charge the applicable subscription fee using the payment method on file.
Pricing and Currency
All prices are quoted in Indian Rupees (INR) by default unless stated otherwise. International users may see prices in their local currency depending on gateway capabilities. Firm AI reserves the right to modify its pricing structure at any time with reasonable prior notice via email or on the Platform. New pricing will take effect at the start of the next billing cycle.
Payment Methods Accepted
We accept payments via:

UPI (Unified Payments Interface)
Credit and Debit Cards (Visa, MasterCard, RuPay, AMEX)
Net Banking
Wallets
International Cards (via Stripe or other cross-border processors)
Bank Transfers (for enterprise clients upon request)

Invoicing and GST Compliance
All payments processed will be accompanied by a valid GST-compliant invoice as per Indian law. Zawr Industries LLP is registered under GST, and tax invoices will reflect applicable taxes (e.g., IGST, CGST/SGST) based on the User’s billing location. Enterprise users may request invoices with custom billing details by contacting billing@firm.expert.
Refund and Cancellation Policy
All payments made are final, non-refundable, and non-transferable, except where expressly stated under consumer protection laws. No refunds shall be issued for partial months, unused features, downgrades, or unutilized access. Users are responsible for cancelling their subscription in advance to avoid renewal charges. Refund requests due to billing errors or exceptional circumstances will be reviewed on a case-by-case basis and, if approved, refunded within 7–10 working days.
Failed Payments and Suspension
In the event of failed transactions due to insufficient funds, card expiry, chargeback, or gateway issues, the User will be notified and granted a grace period of 72 hours to update payment details. If unresolved, access to premium features will be automatically restricted or suspended without further notice. Zawr Industries LLP reserves the right to recover dues via appropriate legal or collection measures.
Promotions, Coupons, and Trial Offers
From time to time, Firm AI may offer promotional pricing, discounts, or trial periods. Such offers are conditional, non-transferable, and may be subject to revocation or early termination at the sole discretion of the Company. Misuse of promotional offers (e.g., duplicate accounts) may lead to account suspension or cancellation without refund.
Disputed Charges and Chargebacks
If you believe a charge has been made in error, you must notify us in writing within 7 calendar days of the charge by emailing support@firm.expert. Initiating chargebacks or payment reversals without valid cause will result in immediate account suspension and may be pursued as fraudulent activity under applicable laws.
Third-Party Payment Processors
All payment transactions are securely processed through third-party payment gateways compliant with PCI DSS and RBI guidelines. Zawr Industries LLP does not store full payment credentials on its servers. Users agree to be bound by the terms of such payment processors in addition to Firm AI’s terms.
Compliance and Audit Rights
Firm AI reserves the right to audit User billing and usage patterns to ensure compliance with its pricing policy. In case of unauthorized access, misuse, or abuse of features, we may charge applicable fees retroactively and/or terminate the subscription without refund.
Governing Law and Jurisdiction
All financial transactions are subject to the laws of the Republic of India. Any disputes relating to payments shall fall under the exclusive jurisdiction of courts located in Bengaluru, Karnataka.

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. No waiver of any breach or default shall be deemed a waiver of any subsequent breach or default. No agency, partnership, joint venture, or employment relationship is created as a result of this Agreement.

These Terms, together with our Privacy Policy and any supplemental agreements, constitute the entire agreement between You and the Company and supersede all prior or contemporaneous understandings, communications, and agreements, whether oral or written, relating to the subject matter herein.

Your continued use of Firm AI constitutes Your full and irrevocable acceptance of these Terms, which may be updated by Zawr Industries LLP at any time in its sole discretion, and such modifications shall become effective upon publication. It is Your responsibility to review the Terms periodically for changes.

By using Firm AI, You acknowledge that You have read, understood, and agreed to be legally bound by these Terms and Conditions.
